Promote cybersecurity<\/li>\n<\/ul>\n<\/div>\n                    <\/div>\n                                    <div class=\"single-row\" id=\"\">\n                        <div class=\"heading-holder\">A collegiate executive body<\/div>\n                        <div class=\"description\"><p>The vast majority of governance issues relate to the effective combination of:<\/p>\n<ul>\n<li>Entrepreneurial freedom for the management,<\/li>\n<li>Protecting the interests of shareholders,<\/li>\n<li>The company\u2019s sustainability.<\/li>\n<\/ul>\n<p>Consequently, as of 1st January 2019, Kallista Energy adopted a governance structure involving an Executive Board and a Supervisory Board, with signatory powers granted to the Chairman of the company and the managing Director. The Executive Board is composed of the Chairman and the Directors from the company\u2019s three principal functions: administration and finance; operations; and development.<br \/>\nThe balance between the three powers (sovereign \u2013 General Meeting of Shareholders, executive \u2013 Chairman\/Managing Director\/Executive Board and supervision \u2013 Supervisory Board) defines how the company is governed. This effective combination helps legitimise, make and support decisions \u2013 notably strategic \u2013 with lasting consequences for the company, build trust among stakeholders vis-\u00e0-vis those who govern the company and the company itself.<\/p>\n<p>In 2021, an independent Chairman was appointed for our Supervisory Committee: <a href=\"https:\/\/www.kallistaenergy.com\/en\/kallista-energy-welcomes-jeroen-de-haas-as-the-new-chairman-of-its-supervisory-board\/\" target=\"_blank\" rel=\"noopener\">Jeroen de Haas<\/a>. Jeroen brings his extensive knowledge of the European renewable energy sector to Kallista Energy. He is the co-founder of Groendus, a company specialising in metering data, smart energy platforms, and solar energy in the Netherlands. Jeroen was previously the Managing Director of Eneco, a major energy player in Europe, where he contributed to the development of activities in Germany and the Netherlands.<\/p>\n<p>Moreover, Kallista Energy has defined an anti-fraud code of conduct, applicable to all its employees. This code of conduct defines and illustrates the various types of behaviour that are not acceptable, being likely to indicate acts of corruption or influence peddling. This code of conduct also integrates protection for all employees in the event that they witness fraudulent acts or acts of corruption involving the company\u2019s Chairman. Should this happen, any employee is authorised to escalate directly to the Chairman of the company\u2019s Audit Committee.<\/p>\n<\/div>\n                    <\/div>\n                                    <div class=\"single-row\" id=\"\">\n                        <div class=\"heading-holder\">Our code of conduct against fraud<\/div>\n                        <div class=\"description\"><p>Kallista Energy has established an anti-fraud code of conduct for all its employees. This code of conduct defines and illustrates the different types of behaviour to be avoided as potentially corrupt or influencing. The code of conduct also includes protection for all employees in case they witness fraudulent or corrupt acts involving the company&#8217;s chairman.
